I have a small web design company and I am in the process of selling my business. It will be an asset sale (Goodwill Only) - tradename, knowhow and client base. There are no tangible assets. I have an S Corp and it will be selling a DBA which is a sub business entity. I have the majority of the agreement together but I need legal council with tax law experience to review my contract and advise me on the tax implications of the sale. I will also need you to review the current agreement and advise me on any content revisions and drafting of the final sale contract.
