THIS AGREEMENT IS MADE BY AND BETWEEN, DEVELOPER AND CUSTOMER:

Proprietary Rights

The parties recognize that all elements of all web design shall be considered “works made for hire,” commissioned by the Customer. Customer shall be deemed to be the sole author of the web design and shall own all right, title, and interest in and to all web design materials, including all intellectual property rights, and Developer hereby irrevocably assigns all such rights to Customer.

Customer shall be the sole and exclusive owner of the code and the use of the Web Site and its underlying code. To the

extent possible Customer shall have the right to patent the web site and its underlying code in the United States of America and any other jurisdiction it cars to do so. The Developer hereby waives and appoints Customer to assert on the Developer's behalf the Developer's moral rights or any equivalent rights regarding the form or extent of any alteration to the Work (including, without limitation, removal or destruction) or the making of any derivative works based on the Work, including, without limitation, code, photographs or other or digital designs, software design or code or the Work, in any medium, for Customer purposes.

DEVELOPER AGREES TO EXECUTE ALL PAPERS AND TO PERFORM SUCH OTHER PROPER ACTS AS CUSTOMER MAY DEEM NECESSARY TO SECURE FOR CUSTOMER OR ITS DESIGNEE THE RIGHTS HEREIN ASSIGNED.
